1. General Provisions

The sale of Stoic Couture products (hereinafter, “Product”) through this website, namely www.stoiccouture.com (hereinafter, the “Website”), is governed by these general terms of sale (hereinafter, the “Terms of Sale”). 2. Information for Consumers

2.1. Consumer Eligibility

The use of remote sales services, regulated under these Terms of Sale, is restricted to consumers aged 18 or older (hereinafter, “Consumer/s”), who act for purposes outside of any commercial, artisan, entrepreneurial, or professional activities. Reselling or transferring the Products for any commercial or professional reason is expressly prohibited, and the Products can only be purchased from or shipped to the countries listed on the Website.

2.2. Acceptance of Terms

Before confirming and sending the Order Form (as defined below), the Consumer must carefully read the Terms of Sale published on the Website and applicable at the time of purchase. These Terms of Sale, together with the Privacy Policy and the Website Conditions of Use, form the only rules that govern the contract between the Consumer and Stoic Couture for purchasing Products through the Website. Stoic Couture reserves the right to make changes and/or additions to these Terms of Sale at any time, which will only affect purchases made after the publication date of the new version.

3. Order Procedure

3.1. Product Display

For every Product offered for sale on the Website, an image of the Product is displayed, along with the relevant price per unit, available colors, sizes, or fit. These images are for illustration purposes only, and Stoic Couture is not responsible for any inaccurate representation of the Product on the Website.

3.2. Placing an Order

To start the order procedure, select the “Add to Shopping Bag” option (hereinafter, “Shopping Bag”) if the Product is available, or “Pre-Order” if the Product is not yet available. Select the desired model, color, size, or fit (if applicable) and add it to your Shopping Bag. Pre-Order Products will be delivered by the date indicated in both the product page and the Order Confirmation email.

3.3. Order Confirmation

To review the Products selected and the total price for the purchase order, access the Shopping Bag page. Before confirming the order (hereinafter, the “Order Form”), ensure the items in the Shopping Bag are correct and complete the Order Form as instructed. To send an order, provide personal data, payment details, and accept these Terms of Sale by ticking the respective box. Review the order summary, including the essential characteristics of each Product ordered, applicable shipping costs, terms and conditions for exercising the right of withdrawal, and the Privacy Policy.

3.4. Completion of Purchase

The purchase procedure is completed once the Consumer confirms the order by validating the Order Form, declaring acceptance of these Terms of Sale, and completes the payment procedure. The Order Form is then sent to Stoic Couture, and the Consumer cannot make any changes to the Order.

3.5. Saving the Shopping Bag

Consumers may, for a limited time, save their Shopping Bag and complete their purchase later. However, adding Products to a Shopping Bag does not guarantee availability, and items may no longer be available when the Order is completed later. If an order procedure is not completed, all items in the Shopping Bag are deleted, and the Consumer must start a new purchasing procedure.

3.6. Customizable Products

For customizable Products, Consumers must send an alphanumeric combination for customization. By sending the combination, Consumers guarantee it does not include any offensive, discriminatory, or illegal expressions, and does not infringe any third-party rights. Stoic Couture reserves the right not to accept a customization request if deemed offensive or containing third-party trademarks, logos, or copyrights.

3.7. Non-Returnable Customized Products

Consumers understand that due to the irreversible nature of customized items, the right to withdraw from an order does not apply to customized Products.

3.8. Order Confirmation Email

Once the purchase is completed, the Consumer will receive a confirmation email to the address entered in the Order Form. The email will confirm the submission of the order and that the Privacy Policy, right of withdrawal information, and the Terms of Sale have been accepted. The Order Form is stored in Stoic Couture’s database for the necessary time to process orders and in compliance with applicable laws.

3.9. Right to Decline Orders

Stoic Couture reserves the right to decline orders if it believes, at its sole discretion, that the Consumer does not meet the requirements for making purchase orders, or where there is an ongoing legal dispute with the Consumer regarding a past order. Stoic Couture also reserves the right to limit or not carry out orders made for commercial and/or professional purposes.

4. Availability

4.1. Product Availability

The Products offered for sale on the Website are provided “based on availability”. Consumers acknowledge that the Products are limited in number and that Stoic Couture must confirm availability at the time of purchase. There may be occasional issues with the availability of certain Products. If the Products listed in the Order Form are unavailable when the order is processed, Stoic Couture will notify the Consumer via email about the partial or complete unavailability of the Products. Consumers accept that they will receive only the available Products in case of partial availability, or their order may be canceled if none of the Products are available.

4.2. Product Variations

Stoic Couture reserves the right to make changes to the Products on the Website at any time without prior notice.

4.3. Temporary Unavailability

If the ordered Products are temporarily unavailable, Stoic Couture will inform the Consumer within 5 working days via email or phone. If a Product is unavailable, the Consumer will not be charged. If the purchase amount has already been charged, it will be refunded within 30 days.

5. Order Confirmation and Acceptance

5.1. Acceptance of Order

Once a Consumer’s Order Form is received, Stoic Couture may accept it by sending an order confirmation as per Article 5.2 or decline it as per Article 5.3.

5.2. Conclusion of Contract

The contract between Stoic Couture and the Consumer is considered concluded when the Consumer receives the Order Confirmation from Stoic Couture. This Order Confirmation is sent to the email address provided by the Consumer in the Order Form and includes a confirmation and summary of the purchase terms, such as a description of the Product, its main characteristics, and the total price including shipping costs.

5.3. Evidence of Contract

The Order Confirmation serves as evidence of the concluded sales contract between Stoic Couture and the Consumer, and the acceptance of these Terms of Sale, the Privacy Policy, and information on the right of withdrawal. The data recorded by Stoic Couture on its server will be treated as evidence of the transaction.

5.4. Right to Decline Orders

Stoic Couture reserves the right to decline an Order Form submitted by a Consumer and not enter into a sales contract in the following cases:

• The Products listed in the Order Form are no longer available.
• The Consumer has previously violated the Terms of Sale or failed to fulfill obligations.
• There is an ongoing legal dispute with the Consumer regarding a past order.
• It is determined that the Consumer is purchasing Products for resale or commercial purposes.
• The Consumer is involved in or suspected of unlawful or fraudulent activities.

In such cases, Stoic Couture will notify the Consumer of the cancellation via email within 30 days of receiving the Order Form.

6. Price and Payment

6.1. Product Prices

The prices for the Products on the Website include VAT and are listed in Euro or other local currency. Stoic Couture strives to ensure that the prices displayed on the Website are accurate and up-to-date, but errors may occur. If a pricing error is detected after the Order Confirmation, Stoic Couture will contact the Consumer to confirm the order at the correct price or cancel the order. If Stoic Couture is unable to contact the Consumer, the order will be canceled.

6.2. Shipping Costs

The amount displayed at the conclusion of the purchase procedure and before the Order Confirmation includes standard shipping costs, which are payable by Stoic Couture unless otherwise stated on the Website.

6.3. Accepted Payment Methods

Stoic Couture accepts only the credit cards and other payment methods listed on the Website.

6.4. Payment Confirmation

By sending the Order Form, the Consumer confirms they are the owner of the credit card and authorized to use the payment methods for the purchase. All data pertaining to payment methods or cards entered for the purchase must be correct.

6.5. Shipping of Products

Products listed in the Order Confirmation are shipped only after the Consumer’s payment data are verified, the credit card or payment method details are confirmed, the issuing company pre-authorizes the transaction, and Stoic Couture confirms the Product’s availability.

6.6. Charges for Custom and Pre-Order Products

For orders that contain only customized or pre-order Products not ready to be shipped at the time of the Order Confirmation, and orders that also contain such Products, the total amount will be charged for all Products in the order.

6.7. Product Identification

All Products include a tag with an identification number, which is an integral part of the Product. Stoic Couture recommends not removing the tag and identification number until confirming the Products match the order, or until deciding not to exercise the right of withdrawal.

7. Delivery

7.1. Delivery Address

Products are shipped to the address provided by the Consumer in the Order Form. For security reasons, Stoic Couture does not ship orders to mail boxes and does not accept orders where the individual recipient and their address cannot be identified.

7.2. Shipping Costs

Unless otherwise stated on the Website, standard shipping costs are borne by Stoic Couture and detailed in the Order Form and invoice as mentioned in point 6.2.

7.3. Delivery Time

All purchases are delivered by a selected courier service (hereinafter, the “Courier”) from Monday to Friday, excluding local or national bank holidays. Delivery is expected within 10 working days from the dispatch of the Order Confirmation, based on availability. Stoic Couture is not liable for delays caused by the Courier.

7.4. Shipment Tracking

When the Product is shipped, the Consumer receives an email with a shipment tracking code and a link to track the delivery in real time. Stoic Couture provides assistance for any delivery issues through Client Services, which can be contacted as indicated on the Website.

7.5. Delivery Issues

If there are any issues with delivery or if the Consumer does not receive the Products within 10 working days from the date of the Order Confirmation, the Consumer should contact Stoic Couture using the contact methods listed in the “Contact Us” section of the Website.

8.1. Right to Amend

Stoic Couture reserves the right to change or correct these Terms of Sale, the Privacy Policy, and the Products offered for sale on the Website, including their prices, at any time and without notice. Consumers are encouraged to carefully read the Terms of Sale and the Privacy Policy before making a purchase on the Website.

8.2. Typographical Errors

In the event of typographical errors, including inaccurate statements or omissions (hereinafter, “Errors”) in the description of the Products, their price, any promotions, offers, and availability, Stoic Couture reserves the right, at any time and without notice, to correct these errors, change and update the information, revoke the offers containing these errors, and cancel any order, even if confirmed and charged. In such cases, the amount charged will be reimbursed in full to the Consumer.

8.3. Applicability of Changes

All changes and/or corrections will apply only to purchase orders submitted after the date of the change or correction made by Stoic Couture. The Consumer will be charged the amounts featured on the Website at the time of the Order Confirmation, provided that the Products ordered are available at that time.

9. Conformity of Orders

9.1. Product Check

Consumers must check the Products upon delivery to ensure they match the items ordered and that there are no evident manufacturing faults or defects.

9.2. Reporting Anomalies

Any anomalies (e.g., tampering or damages to the box) found at the time of delivery can be indicated by the Consumer directly to the Courier by adding a handwritten and signed comment to the delivery note. In such cases, the Consumer is not obliged to accept the Products and may return them directly to the Courier.

9.3. Post-Delivery Issues

If anomalies are detected after delivery, the Consumer should contact Client Services without delay using the contact details found in the “Contact Us” section on the Website.

10. Cancellation Rights

10.1. Right to Withdraw

The Consumer has the right to withdraw from the agreement for the purchase of the Products through the Website without charge or penalties and without providing any reasons, within 30 working days from the date of receipt of the Products. As indicated in Article 3.7 above, the right to withdraw is excluded for customized Products, as they include irreversible alphanumeric combinations sent by the Consumer. Consumers are not authorized to exchange purchased Products with different Products.

10.2. Withdrawal Procedure

To exercise the right of withdrawal, Consumers must follow the procedures in the “Returns and Refunds” section on the Website and fill in the pre-printed returns form received with the order. Consumers are responsible for proper packaging, labeling, and shipping of returns. For any questions, Consumers can contact Client Services using the details provided in the “Contact Us” section on the Website. Failure to follow the procedure will result in the Consumer being charged for all return costs and liable for any loss, theft, damages, or delivery delays.

10.3. Conditions for Reimbursement

Consumers will be reimbursed only if the Product is returned in the same condition it was delivered, never used, worn, or washed, and not deteriorated or damaged. It must have all original tags, including the anti-counterfeiting tag, and all parts and accessories. Stoic Couture will check the packaging and condition of each returned Product. If the right of withdrawal is exercised for all Products in the same order, they must be returned together in the same shipment with their original packaging.

10.4. Rejection of Returned Products

Stoic Couture reserves the right to reject returned Products that do not meet the requirements of Article 10.3 or are in a condition suggesting they have been used for purposes other than necessary checks.

10.5. Reimbursement Method

The price paid for returned Products will be reimbursed using the same payment method used for their purchase. Stoic Couture reserves the right to withhold reimbursement until the Product is received and checked. Products purchased on the Website cannot be returned to Stoic Couture’s physical stores.

10.6. Reimbursement Timing

The sums paid at the time of purchase will be reimbursed as soon as possible and no later than 30 days from the date Stoic Couture receives the returned items, provided that the conditions in Article 10.3 are met. Consumers will receive an email confirmation once the reimbursement is made.

10.7. Reimbursement to Original Purchaser

If the recipient of the Products is different from the person who made the payment, the reimbursement will be made to the person who made the payment.

10.8. Return Process

To return Products purchased on the Website, Consumers must:

1. Ensure the package includes the label, tags, and commercial documents accompanying the Products.
2. Contact the Courier by phone at the number indicated in the receipt and agree on a date and time for collection. The withdrawal must take place at an address in the same country where the Products were received.
3. Ask the Courier for a signed copy of the collection receipt and keep it as evidence of collection.

10.9. Standard Shipping Costs

Standard shipping costs for returns are borne by Stoic Couture.

10.10. Alternative Shipping Methods

If a Consumer chooses to use a different shipping method, Stoic Couture encourages Consumers to ensure the full value of the Products, obtain and keep the receipt and shipment number. In this case, shipping costs are borne by the Consumer, and Stoic Couture is not responsible for reimbursing the price of Products lost, stolen, or damaged during return shipping.

11. Reimbursement for Products Not Matching Ordered Products

11.1. Mismatched Products

If a delivered Product does not match the ordered Product, the Consumer is entitled to request a replacement or cancel the order if the Products ordered are not available. In case of order cancellation, the costs for the returned Products will not be charged. If already charged, the amount will be reimbursed within 30 days.

11.2. Order Cancellation and Reimbursement Requests

Order cancellations and reimbursement requests must be completed within the time limit provided in Article 13.2 and follow the return procedure indicated in the “Returns and Refunds” section on the Website.

11.3. Return Shipping Method

If a Consumer uses the standard Courier and shipping method offered by Stoic Couture, shipping is free of charge. If a Consumer chooses another courier, they are fully responsible for the return, assuming all shipping risks, and Stoic Couture is not liable for loss, incorrect shipping, wrong address, or delivery delays. 11.4. Conditions for Reimbursement

Stoic Couture will issue a reimbursement for the amount paid for the Product, provided it is returned in its original condition, including packaging, tags, and accessories, and has not been used, worn, or washed. Stoic Couture will check the packaging and condition of each returned Product.

11.5. In-store Purchases

Consumers cannot request a replacement or reimbursement through the Website for Stoic Couture products purchased at physical stores or other venues authorized to sell Stoic Couture products.

12. Limited Warranty

Except in cases of wrongful intentional or grossly negligent acts, Stoic Couture shall not be liable for any indirect or consequential damages suffered by Consumers in connection to the purchase of Products offered for sale on the Website.

13. Liability

13.1. Product Defects

Stoic Couture shall be liable for any defects in the Products offered for sale on the Website, including non-compliance with relevant legislation.

13.2. Product Warranty Conditions

The Product warranty provided by Stoic Couture is valid if both of the following conditions are met:

• The defect becomes apparent within 24 months from the date of delivery.
• The Consumer submits a formal complaint regarding the defects within no more than 2 months from the date the defect was detected by contacting Client Services.

In the event of non-compliance, the Consumer has the right to obtain, at no cost, a repair or replacement of the non-compliant Product, an appropriate reduction of the price, or withdrawal from the purchase agreement and compensation upon returning the Product.

13.3. Assistance

Consumers may contact Client Services for assistance by calling the number listed in the “Contact Us” section. Complaints must be submitted by filling in the form available in the “Contact Us” section on the Website.

13.4. Return Costs for Defective Products

The costs for returning defective Products shall be borne by Stoic Couture, provided the Consumer uses the standard shipping method offered.

13.5. External Circumstances

Stoic Couture shall not be liable for any delays or failure to complete the order due to circumstances beyond its reasonable control.

14. Disputes

14.1. Governing Law

These Terms of Sale and any non-contractual obligations arising from or related to them are governed by Italian law. Any dispute shall be subject to the exclusive jurisdiction of the competent court in the Consumer’s place of domicile or residence, or the Italian Court of Milan, at the Consumer’s choice.

14.2. Severability

If any provision in these Terms of Sale is found to be invalid, null, or unenforceable, such provision shall be deemed severable and shall not affect the validity and enforceability of the other provisions.

14.3. Online Dispute Resolution

Stoic Couture informs its Consumers that for out-of-court, online resolution of a dispute arising from a sales agreement, Consumers may submit complaints on the European platform for Online Dispute Resolution (ODR) at http://ec.europa.eu/consumers/odr/, in compliance with relevant legislation.

15. Copyright and Trademarks

15.1. Website Content

The entire content of the Website www.stoiccouture.com, including trademarks, copyright, corporate images, works, images, photos, dialogues, music, sounds, videos, documents, drawings, figures, logos, menus, web pages, graphic design, colors, models, tools, prints, drawings, diagrams, layout, methods, processes, characteristics, and software (collectively the “Content”), are property of Stoic Couture and its content providers, and are protected under applicable intellectual property laws.

15.2. Use of Content

Consumers may not reproduce, publish, distribute, display, modify, create works, or benefit from the Content in any manner without prior written consent from Stoic Couture or its content providers. Stoic Couture authorizes Consumers to view, download, and print the pages of the Website exclusively for personal and non-commercial use.

15.3. Ownership Rights

Stoic Couture reserves the right to claim ownership of any Content published on the Website and to object to any use, distortion, or change to said Content.

16. Rights of Stoic Couture

Stoic Couture may, at its exclusive discretion, delete the Consumer’s account or prevent the Consumer from using the Website at any time. Stoic Couture reserves the right to change these Terms of Sale and to modify, suspend, or discontinue the functionality or Content of the Website at any time without notice.
